With a merger, two companies can combine to create an entirely new business, with the previous entities disappearing. For example, two doctors might want to merge their medical practices. The former practices, “Doctor A, MD,” and “Doctor B, MD,” might merge into a new organization, “Two Doctors and an Office.” (Any resemblance to an actual company name is unintentional.) The two doctors would go forward as the new business structure. They would no longer practice medicine under their previous individual entities.

 

Some mergers require a formal process, such as a plan of merger that must get approved by the board of directors and then the shareholders. I can prepare documents tailored to the unique facts of your situation. Every merger is different. You should not use “cookie-cutter” forms when going forward with a merger. Your documents should reflect the individual issues of your needs and goals.

An acquisition is when one company (Company A) buys the assets or stock of another company (Company B). The acquired company (Company B) might continue as a separate legal entity, or it could dissolve and distribute the purchase proceeds (money or stock) to its shareholders. Sometimes Company A assumes all of the debts and liabilities of Company B, but in other situations, Company only takes on a portion of those liabilities.

 

Rather than buying Company B outright, Company A could purchase a controlling number of shares of Company B. Company A could pay cash or exchange some of its stock for the shares of Company B. Company A can obtain the shares either from shareholders of Company B or from the company itself.
